
Terms of Business Contract
Introduction & Purpose This agreement ("Agreement") sets forth the terms and conditions under which partners ("Partner") participate in the Kenwood Focus Partner Program ("Program"). By enrolling in the Program, the Partner agrees to comply with these terms and all applicable policies.
Partner Obligations
Partner agrees to actively promote and sell Kenwood products and services.
Partner must meet the defined spend targets (detailed in Appendix A) to qualify for rebates and incentives.
Compliance with all legal and regulatory requirements related to the sale and distribution of Kenwood products.
Spend Targets & Rebates
Spend targets and rebate structures will be determined annually and communicated separately.
Partners meeting or exceeding spend targets will qualify for financial incentives as outlined in the program guidelines.
Kenwood reserves the right to modify rebate structures with prior notice.
Airsys Commitments
Provide ongoing product training and marketing support.
Ensure timely fulfillment of partner orders.
Offer technical support and troubleshooting assistance.
Provide access to co-marketing funds where applicable.
Contract Duration & Termination
This Agreement is valid for one (1) year from the date of acceptance and will automatically renew unless terminated by either party with 30 days' notice.
Kenwood reserves the right to terminate the agreement if the Partner fails to meet performance obligations or violates any terms.
Legal & Compliance Clauses
This Agreement does not establish an employer-employee relationship.
Both parties agree to handle confidential information responsibly.
Disputes arising under this Agreement will be settled in accordance with [jurisdiction] laws.
